ADVERTISEMENTS Notice of Application for Private Bill Amendment to An Act to Incorporate Mary Immaculate Hospital of Mundare NOTICE is hereby given that petitions will be submitted to the Lieutenant Governor and the Legislative Assembly of the Province of Alberta at the 2006 Spring session of the Legislature of the Province of Alberta for the passage of a Bill by the Mary Immaculate Hospital of Mundare corporation, to amend the private act, namely: An Act to Incorporate Mary Immaculate Hospital of Mundare, S.A. 1962, c.106. The Sisters Servants of Mary Immaculate (the "Sisters") and its representatives have withdrawn from membership in the Mary Immaculate Hospital of Mundare corporation with a view to passing on sponsorship and control to the Alberta Catholic Health Corporation. There is accordingly a need to adapt the legislation to more clearly confirm the Sisters' departure and generally make the legislation more applicable to the corporation's existing and anticipated operations. There is also a desire to amend the legislation so as to conform the corporation's legal structure with more modern corporate legislation. Accordingly the proposed amendments will: (a) remove the requirement that future bylaw changes obtain the consent of the Provincial Superior of the Sisters; (b) permit the Alberta Catholic Health Corporation to be the sole member of the corporation while allowing for other membership structures if desirable; (c) broaden the objects of the corporation so as to allow the corporation broader scope in the delivery of health care and wellness services and charitable works generally; (d) give to the corporation the capacity, rights, powers and privileges of a natural person; (e) improve the legislation's provisions relating to its internal affairs including provisions relating to: (i) the appointment of members and directors and the granting of directors powers; (ii) the adoption and amendment of bylaws; and (iii) the dissolution of the corporation.
